STANDARD TERMS AND CONDITIONS OF SALE

The customer expressly waives the application of their own General Terms and Conditions, even if these were created based on the present General Sales Conditions. Any deviation requires prior explicit and written agreement to be valid.

Our invoices are payable within 21 business days, unless a different payment term is specified on the invoice or order. In the event of non-payment by the due date, MMS Elektronik GmbH reserves the right to charge a fixed late fee of 10% of the outstanding amount. MMS Elektronik GmbH is entitled to suspend any service provision without prior notice in the event of a payment delay.

If a payment is still outstanding more than sixty (60) days after the due date, MMS Elektronik GmbH reserves the right to engage a collection agency for the collection of the debt. All legal costs incurred as a result shall be borne by the customer.

Certain countries impose withholding tax on invoice amounts in accordance with their national legislation. Such withholding tax is to be paid by the customer to the tax authorities of the respective country. Under no circumstances can MMS Elektronik GmbH be held liable for costs arising from the legislation of a country. Therefore, the invoice amount is to be paid in full to MMS Elektronik GmbH and does not include any costs related to the legislation of the country in which the customer is located.

The MMS Elektronik GmbH is committed to providing its services to the best of its ability and on time according to the agreed schedules. However, these commitments do not constitute guarantees of success. Under no circumstances can MMS Elektronik GmbH be obligated by the customer to act as a third party in the context of a claim for damages brought by a consumer against the customer.

In order for a complaint to be valid, MMS Elektronik GmbH must be notified by registered mail at its headquarters within 8 days after the delivery of the goods or the provision of the service.

All our contractual relationships are exclusively subject to German law.
